This Commercial Music License Agreement (“Agreement”) is entered into between:Licensor: Fidelis Marketing Group SL.
Operating under the brand: ListenForFree.com and Licensee:
The subscribing business entity or individual.By purchasing or using this subscription, the Licensee agrees to the following terms.
1. Licensed Music
The music made available under this subscription (“Licensed Music”) consists exclusively of original musical works that:Are not registered with any Performing Rights Organization (PRO), including but not limited to BUMA/STEMRA, SGAE, PRS, ASCAP, BMI, SESAC;Are fully owned and controlled by the Licensor.
2. Grant of License
Subject to active subscription and payment, the Licensor grants the Licensee a non-exclusive, non-transferable, limited commercial license to:Publicly perform the Licensed Music within the Licensee’s physical business locations (e.g. restaurants, bars, hotels, retail stores);Use the Licensed Music as background or ambient music for customers and staff.This license is valid only for the duration of the active subscription.
3. No Additional Royalties
Because the Licensed Music is not registered with any PRO:The Licensee is not required to pay any additional public performance royalties to BUMA/STEMRA, SGAE, or any other rights organization for the Licensed Music;No third-party royalty claims shall arise from authorized use under this Agreement.
4. Restrictions
The Licensee may not:Resell, sublicense, distribute, or make the Licensed Music available to third parties;Use the Licensed Music for audiovisual productions, advertising campaigns, broadcast, streaming platforms, or synchronization without written permission;Modify, remix, or claim authorship of the Licensed Music.
5. Locations Covered
The license covers only the number of locations specified in the active subscription plan.
Additional locations require an upgraded subscription
6. Ownership
All copyrights and intellectual property rights remain the exclusive property of the Licensor.
No ownership is transferred under this Agreement.
7. Termination
This Agreement terminates automatically upon:Expiration or cancellation of the subscription;Breach of these terms.Upon termination, all use of the Licensed Music must cease immediately.
8. Liability & Indemnification
The Licensor warrants that it holds full rights to license the Licensed Music as described.
The Licensee agrees to use the Licensed Music only as permitted.
9. Governing Law
This Agreement shall be governed by the laws of Spain and EU jurisdiction, without regard to conflict of law principles.
10. Entire Agreement
This Agreement constitutes the entire agreement between the parties concerning the Licensed Music.
